These Terms & Conditions govern the commercial and operational relationship between Waafaq (وافق) and our clients across Software Development, Web Creation, and Financial & Accounting Management Solutions.

Effective Date: October 2026• Horn & East Africa Jurisdiction

1. Acceptance of Terms

By entering into a contract, accepting a service proposal, or utilizing any website, software system, or financial service provided by Waafaq (وافق), you ("Client") agree to be bound by these Terms & Conditions.

These terms apply to all individuals, startups, small businesses, and institutions engaging Waafaq for Technology Solutions or Financial & Accounting Services throughout the Horn of Africa, East Africa, and internationally.

2. Scope of Services

Waafaq provides business solutions under two main operating divisions:

1. Technology & Software

Website development, web applications, custom management systems (ERP), database and workflow automation, maintenance, and technical support.

2. Financial & Accounting

Accounting system setup, staff bookkeeping training, ongoing bookkeeping monitoring, record organization, translated management reports (EN | SO), and process improvement.

3. Technology & Software Terms

  • Deliverables & Approval: All software, website, or custom system deliverables are subject to a specified review and User Acceptance Testing (UAT) period detailed in the project proposal.
  • Client Dependencies: Timelines rely on prompt provision of content, branding guidelines, database credentials, or server access by the Client.
  • Software Maintenance: Technical support and bug fixes following final system deployment are governed by the agreed maintenance plan or warranty period.

4. Financial & Accounting Terms

To maintain high integrity across bookkeeping and advisory engagements:

Accuracy of Provided Data: Waafaq structures systems and generates management reports based on source documents (receipts, invoices, bank statements) provided by the Client. The Client remains solely responsible for the authenticity and truthfulness of all underlying financial records.
Advisory Disclaimer: Waafaq provides managerial accounting, bookkeeping training, and internal reporting assistance to improve operational visibility. Our services do not substitute for official statutory external tax audits unless explicitly contracted under a formal legal audit scope.

5. Fees, Payment & Billing

  • Payment terms, deposit percentages, and milestone schedules are specified in each project proposal.
  • Work commences upon receipt of the agreed initial deposit.
  • Overdue invoices may result in temporary suspension of active software development or bookkeeping reporting.

6. Intellectual Property & Ownership

Upon full payment of all contractual fees:

  • • Custom Software & Code: All rights, title, and ownership of custom-developed code, database schemas, and website assets transfer to the Client.
  • • Financial Records & Reports: Chart of accounts, compiled ledgers, and translated management reports remain the 100% exclusive property of the Client.
  • • Reusable Frameworks: Waafaq retains ownership of core pre-existing code libraries, developer tools, and generic frameworks used to construct the solution.

7. Confidentiality & Non-Disclosure

Both parties agree to hold all technical specifications, business logic, customer database information, and financial data in strict confidence. Waafaq will not disclose client financial reports or custom software architectures to third parties without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Waafaq shall not be liable for any indirect, incidental, or consequential damages resulting from third-party server downtime, user error in operating accounting software, or unverified financial documents supplied by the Client.

Our maximum aggregate liability under any contract shall not exceed the total fees paid by the Client to Waafaq for the specific service in question.

9. Term & Termination

Either party may terminate an ongoing service agreement by providing written notice as stipulated in the contract proposal. Upon termination, the Client shall pay for all completed milestones or completed bookkeeping hours up to the termination date, and Waafaq will hand over all paid deliverables and ledger files.

10. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with commercial laws applicable in the Horn of Africa and East Africa. Parties agree to attempt amicable dispute resolution through direct negotiation prior to initiating formal arbitration.
